Syncro Data Stream Terms

These Syncro Data Stream Terms govern the use of the Syncro Data Stream service provided by P2P.org.

These Syncro Data Stream Terms supplement and form part of the P2P.org Terms of Use available at https://www.p2p.org/terms-of-use

In the event of any inconsistency between these Syncro Data Stream Terms and the P2P.org Terms of Use, these Syncro Data Stream Terms shall apply solely with respect to the Syncro Data Stream service.

1. Description of the Service

Syncro Data Stream is a technical blockchain data infrastructure service.

The Service provides Users with access to certain raw blockchain data, transaction-flow data, order-flow data, block data, order book data, transaction events, and other network-related data made available through API, WebSocket, or other technical endpoints operated or supported by P2P.org.

The Service may include data observed, received, processed, or made available through P2P.org infrastructure, including validator infrastructure, node infrastructure, relay infrastructure, network monitoring infrastructure, or other technical systems operated or used by P2P.org.

The data made available through the Service may relate to one or more supported blockchain networks, protocols, venues, or ecosystems, or any other network supported by P2P.org from time to time.

Depending on the relevant network and technical configuration, the data may include information observed either before or after inclusion of a transaction, order, event, or other network activity in a block or equivalent network record.

The Service is provided as a data access and delivery layer only.

P2P.org does not provide, and the User must not treat the Service as providing:

trading advice;

investment advice;

market recommendations;

execution advice;

trading signals;

a recommendation to buy, sell, hold, route, cancel, submit, or prioritize any transaction, order, asset, token, position, or strategy.

The User is solely responsible for how it receives, interprets, stores, analyses, processes, uses, or acts upon any data made available through the Service.

2. Nature of the Data

Unless expressly agreed otherwise in writing, the data made available through the Service is provided on a raw and technical basis.

P2P.org does not undertake to review, verify, correct, enrich, complete, classify, rank, filter, or validate the data before making it available to the User.

The User acknowledges that blockchain, transaction-flow, order-flow, and network data may be incomplete, delayed, duplicated, inaccurate, unavailable, reordered, reverted, replaced, invalidated, or affected by network conditions, validator behaviour, protocol rules, congestion, forks, reorganisations, infrastructure failures, third-party systems, or other technical factors outside P2P.org's control.

P2P.org does not represent or warrant that any data made available through the Service:

is accurate, complete, current, or reliable;

will be delivered without interruption or delay;

will be delivered earlier than through public RPCs, explorers, indexers, or other public infrastructure;

will remain available through the same endpoint, format, schema, network, or delivery method;

will be suitable for trading, analytics, compliance, monitoring, execution, routing, risk management, or any other specific use case;

will result in any commercial, technical, trading, financial, operational, or economic benefit to the User.

The User uses the Service and any data made available through the Service entirely at its own risk.

3. Service Fees

Unless otherwise agreed with the User, access to the Service is provided on a subscription basis.

The applicable subscription fee, billing period, payment terms, access scope, supported network, endpoint availability, usage limits, and other commercial terms may be specified through the Service interface, technical documentation, order form, invoice, or separate agreement with the User.

Payment of any fee does not create any obligation for P2P.org to provide a minimum volume of data, any particular latency, guaranteed uptime, guaranteed availability, guaranteed endpoint performance, or any service level commitment, unless expressly agreed in writing.

4. No Service Level Commitment

Unless expressly agreed otherwise in a separate written agreement, the Service is provided without any SLA.

P2P.org does not commit to any specific:

uptime;

latency;

delivery speed;

data completeness;

data accuracy;

endpoint availability;

response time;

support response time;

recovery time;

volume of data;

continuity of access;

compatibility with the User's systems.

P2P.org may suspend, interrupt, limit, modify, degrade, restrict, replace, or discontinue the Service or any endpoint, supported network, data type, schema, method of access, or technical feature at any time where reasonably necessary for security, maintenance, infrastructure protection, legal compliance, network changes, protocol changes, abuse prevention, commercial reasons, or other operational reasons.

5. Internal Use Only

Unless expressly agreed otherwise in writing, the User may use the data made available through the Service only for its own internal business purposes.

The User must not, directly or indirectly:

sell, resell, license, sublicense, distribute, publish, disclose, transmit, provide, or otherwise make available the data to any third party;

use the data to operate, support, or build a competing data product, market data product, transaction-flow product, order-flow product, blockchain analytics product, API product, or infrastructure service;

publicly display or make the data available through dashboards, feeds, terminals, applications, bots, APIs, databases, or other external products;

aggregate the data with other data for the purpose of resale, redistribution, sublicensing, or commercial exploitation by third parties;

scrape, copy, cache, bulk download, reconstruct, reverse engineer, or attempt to extract more data than permitted by the agreed technical access;

share API keys, credentials, endpoint access, authentication tokens, or other access tools with any third party.

The User is responsible for all activity carried out through its account, credentials, API keys, systems, employees, contractors, affiliates, agents, or other persons acting on its behalf or using its access.

6. Prohibited Uses

The User must not use the Service, or any data made available through the Service, for any unlawful, abusive, manipulative, harmful, deceptive, or prohibited activity.

In particular, the User must not use the Service or any data made available through the Service for:

front-running;

sandwich attacks;

market manipulation;

wash trading;

spoofing;

layering;

abusive MEV strategies;

unfair transaction strategies;

manipulation of order books, liquidity, transaction ordering, block production, validators, network infrastructure, or protocol mechanisms;

denial-of-service attacks, spam attacks, congestion attacks, or other harmful network activity;

sanctions evasion;

money laundering, terrorist financing, fraud, scams, theft, cybercrime, or other unlawful activity;

circumvention of applicable laws, regulations, sanctions, protocol rules, network rules, exchange rules, trading venue rules, or third-party contractual restrictions;

activity that intentionally extracts value from other market participants through abusive, deceptive, manipulative, or harmful use of transaction-flow, order-flow, or pre-inclusion data.

The User must not use the Service in a way that may cause P2P.org to be regarded as participating in, facilitating, assisting, enabling, or supporting any of the activities listed above.

For the purposes of these Syncro Data Stream Terms, "Unfair Data Use" means any use of the Service or data made available through the Service that is intended to exploit transaction-flow, order-flow, network latency, data timing, validator-observed information, or similar technical information in a manner that is unlawful, abusive, manipulative, harmful, deceptive, or generally recognised as harmful by the relevant blockchain, trading, or digital asset ecosystem.

P2P.org may restrict, suspend, or terminate the User's access to the Service if P2P.org reasonably believes that the User has used, is using, or may use the Service in breach of this section.

P2P.org is not required to monitor the User's use of the Service, but may take any action it considers reasonably necessary to protect its infrastructure, other users, supported networks, market integrity, regulatory position, reputation, or compliance with applicable law.

7. User Responsibility

The User is solely responsible for:

determining whether the Service is suitable for the User's intended purpose;

ensuring that its use of the Service and any data complies with applicable laws and regulations;

ensuring that its use of the Service complies with applicable protocol rules, network rules, trading venue rules, exchange rules, and third-party contractual obligations;

all trading, routing, execution, submission, cancellation, quoting, market-making, risk management, analytics, monitoring, and other decisions made by the User;

any transaction, order, trade, quote, strategy, signal, model, bot, system, or automated process that uses, relies on, or is informed by data made available through the Service;

losses, claims, penalties, investigations, disputes, enforcement actions, or other consequences arising from the User's use of the Service or data.

The User must conduct its own legal, regulatory, technical, operational, and commercial assessment before using the Service.

P2P.org does not approve, review, supervise, control, or endorse the User's trading strategies, analytics, models, systems, transactions, orders, or decisions.

8. Transaction Submission Functionality

Certain supported networks or configurations may allow the User to submit, route, or land transactions through or in connection with the Service.

Where transaction submission functionality is made available, P2P.org acts only as a technical infrastructure provider.

P2P.org does not create, structure, sign, authorise, approve, verify, or modify the User's transactions.

The User is solely responsible for:

creating each transaction;

determining the content, purpose, timing, destination, parameters, and economic effect of each transaction;

signing or authorising each transaction;

ensuring that each transaction is lawful and compliant;

ensuring that each transaction does not involve any prohibited use, unfair strategy, sanctions issue, or unlawful activity.

P2P.org does not warrant, represent, or guarantee that any transaction submitted, routed, or landed through or in connection with the Service will:

be accepted by any network, validator, sequencer, protocol, node, or other infrastructure;

be included in any block or equivalent network record;

be processed within any particular time frame;

be processed in any particular order;

achieve any intended technical, commercial, trading, financial, or economic outcome.

Transaction inclusion, ordering, validation, execution, finality, failure, replacement, reversal, or rejection remain subject to the relevant network, protocol, validator set, sequencing mechanism, infrastructure conditions, and other factors outside P2P.org's control.

9. Service Disclaimers

The Service is provided strictly as technical blockchain data and infrastructure access.

For the avoidance of doubt:

the Service is not an investment service;

the Service is not a brokerage service;

the Service is not a payment service;

the Service is not a financial advisory service;

the Service is not a trading venue;

the Service is not an exchange;

the Service is not an execution service;

the Service is not a portfolio management service;

the Service is not a market-making service;

the Service is not a custody service;

the Service is not a clearing, settlement, or transfer service.

P2P.org does not hold, custody, control, manage, receive, transfer, or dispose of any User assets in connection with the Service.

P2P.org does not create or manage User wallets.

P2P.org does not make trading decisions for the User.

P2P.org does not determine whether the User should enter into, cancel, route, prioritise, submit, or refrain from any transaction, order, trade, or strategy.

The fact that data may be delivered faster, more directly, or through P2P.org infrastructure does not mean that P2P.org recommends, approves, or supports any activity carried out by the User using that data.

10. Additional Indemnification

Without limiting the indemnification obligations set out in the P2P.org Terms of Use, the User agrees to indemnify, defend, and hold harmless P2P.org, its affiliates, directors, officers, employees, contractors, agents, service providers, and representatives from and against any claims, liabilities, damages, losses, fines, penalties, investigations, enforcement actions, costs, and expenses, including reasonable legal fees, arising out of or relating to:

the User's use of the Service;

the User's use, interpretation, processing, storage, distribution, or reliance on any data made available through the Service;

any trading, routing, execution, submission, quoting, market-making, analytics, monitoring, or other activity carried out by the User using or relying on the Service or data;

any breach of these Syncro Data Stream Terms;

any Prohibited Use or Unfair Data Use;

any unlawful, abusive, manipulative, harmful, deceptive, or sanctions-related activity carried out by the User;

any transaction, order, trade, strategy, bot, model, signal, system, or automated process operated by or on behalf of the User;

any claim that P2P.org enabled, facilitated, assisted, or contributed to the User's activity through provision of the Service;

any redistribution, resale, sublicensing, disclosure, publication, or third-party use of the data by or through the User.

11. Limitation of Liability

THE LIMITATION OF LIABILITY PROVISIONS SET OUT IN THE P2P.ORG TERMS OF USE SHALL APPLY IN FULL TO THE USE OF THE SERVICE.

WITHOUT LIMITING THE FOREGOING, AND TO THE FULLEST EXTENT NOT PROHIBITED BY APPLICABLE LAW, IN NO EVENT SHALL P2P.ORG, ANY P2P PARTIES, OR ANY OF THEIR AFFILIATED PARTIES BE LIABLE FOR ANY LOSS OF PROFITS OR FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, PUNITIVE, CONSEQUENTIAL, OR OTHER LOSS OF ANY KIND, INCLUDING ANY LOSS RELATED TO:

REVENUE, INCOME, PROFIT, OR EXPECTED PROFIT;

TRADING LOSS;

LOSS OF MARKET OPPORTUNITY;

LOSS ARISING FROM ANY TRADING, ROUTING, EXECUTION, QUOTING, MARKET-MAKING, ANALYTICS, MONITORING, OR RISK MANAGEMENT DECISION;

LOSS ARISING FROM DATA LATENCY, DELAY, INACCURACY, INCOMPLETENESS, UNAVAILABILITY, INTERRUPTION, DUPLICATION, REORDERING, OR FAILURE;

LOSS ARISING FROM NETWORK CONGESTION, FORKS, REORGANISATIONS, VALIDATOR BEHAVIOUR, PROTOCOL CHANGES, INFRASTRUCTURE FAILURES, THIRD-PARTY SYSTEMS, OR CYBERSECURITY EVENTS;

LOSS OF USE OR LOSS OF DATA;

LOSS OF PRODUCTION;

LOSS OF CONTRACT;

LOSS OF COMMERCIAL OPPORTUNITY;

LOSS OF SAVINGS, DISCOUNTS, OR REBATES;

HARM TO REPUTATION OR LOSS OF GOODWILL;

LOSS OF BUSINESS;

BUSINESS INTERRUPTION.

THE USER ACKNOWLEDGES AND AGREES THAT IT USES THE SERVICE AND ANY DATA MADE AVAILABLE THROUGH THE SERVICE AT ITS OWN RISK.

P2P.ORG SHALL NOT BE LIABLE FOR ANY LOSS, DAMAGE, OR ADVERSE CONSEQUENCE ARISING OUT OF OR IN CONNECTION WITH:

THE USER'S ACCESS TO OR USE OF THE SERVICE;

THE USER'S RELIANCE ON ANY DATA MADE AVAILABLE THROUGH THE SERVICE;

ANY DELAY, ERROR, OMISSION, INTERRUPTION, OR FAILURE IN THE SERVICE;

ANY TRADING, ROUTING, EXECUTION, SUBMISSION, QUOTING, MARKET-MAKING, ANALYTICS, MONITORING, OR OTHER ACTIVITY CARRIED OUT BY THE USER;

ANY USE OF THE SERVICE FOR PROHIBITED USES OR UNFAIR DATA USE;

ANY TRANSACTION SUBMITTED, ROUTED, LANDED, VALIDATED, EXECUTED, FAILED, REJECTED, REPLACED, REORDERED, OR NOT INCLUDED THROUGH OR IN CONNECTION WITH THE SERVICE.

IN NO EVENT SHALL THE AGGREGATE LIABILITY OF P2P.ORG AND ANY P2P PARTIES, COLLECTIVELY, FOR ANY LOSS ARISING OUT OF OR RELATING TO THESE SYNCRO DATA STREAM TERMS OR THE USE OF THE SERVICE EXCEED THE LESSER OF:

(i) THE TOTAL AMOUNT OF FEES RECEIVED BY P2P.ORG FROM THE USER FOR THE SERVICE DURING THE ONE MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR

(ii) USD 100,

UNLESS OTHERWISE REQUIRED BY APPLICABLE LAW.

12. User Representations

The User represents and warrants that:

it will use the Service only for lawful internal business purposes;

it will not use the Service or data for any Prohibited Use or Unfair Data Use;

it has all rights, approvals, licences, registrations, consents, and authorisations required to use the Service in the manner intended by the User;

its use of the Service will not cause P2P.org to breach any applicable law, regulation, sanctions requirement, protocol rule, network rule, or third-party obligation;

it will promptly notify P2P.org if it becomes aware of any actual or suspected misuse of the Service or data.

P2P.org may request reasonable information from the User regarding its intended or actual use of the Service where P2P.org reasonably considers such information necessary for legal, regulatory, security, compliance, abuse-prevention, or infrastructure-protection purposes.

Failure to provide such information may result in suspension or termination of access to the Service.
